Documentation comes before commercial discussion

A credible counterparty can produce corporate registration, relevant licensing, a coherent account of the material and references to verification arrangements before quantity or terms are discussed at all.

Reversing that order — agreeing terms first and producing documentation later — is where most unworkable transactions begin.

Verification rights are structural, not a courtesy

Where and by whom material is weighed and assayed, whether a counterparty or its appointed agent may witness or appoint independently, and how a discrepancy is handled are all matters to be settled in the transaction structure rather than raised once material is in motion.

Settlement structure

Settlement should be structured through recognised instruments and documented arrangements appropriate to the jurisdictions involved. Requests for informal transfers or advance payments outside a documented structure are a reason to stop, not a detail to negotiate.

Common warning signs

Pressure to move quickly; reluctance to permit independent verification; documentation that cannot be matched to identified material; an origin account that shifts under questioning; and unwillingness to identify beneficial ownership.

None of these on its own proves anything. Each of them is a reason to ask further questions before a transaction progresses.
